Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (individual or entity) and Tô Minh Tiến, doing business as SOLI AI ("we", "our", "us") regarding your use of:

• SOLI AI consulting services and AI solutions
• SOLI AI website and informational materials
• All related services, documentation, and communications

SOLI AI is operated as a sole proprietorship by Tô Minh Tiến. We are not a registered company, corporation, or trademark at this time. Services are provided on an individual consulting basis.

By accessing or using SOLI AI services, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the service.

2. Service Description

SOLI AI is currently in development. As an independent consultant, Tô Minh Tiến provides custom AI solution development services through SOLI AI, including:

• Custom AI model development tailored to specific business needs
• Data integration and pipeline setup
• Hands-on implementation and deployment
• Training, documentation, and ongoing support
• Consultation and solution architecture

Services are provided on a consulting basis with terms defined in individual project agreements.

3. Engagement Terms

When engaging SOLI AI consulting services:

• You must provide accurate information about your business needs
• You must be authorized to engage services on behalf of your organization
• You are responsible for the accuracy of information you provide
• Specific terms will be outlined in individual project agreements

4. Acceptable Use

You agree to use SOLI AI services only for lawful purposes and in compliance with these Terms. You may not:

• Use services for illegal activities
• Violate any applicable laws or regulations
• Infringe on third-party intellectual property rights
• Provide false or misleading information
• Use deliverables to develop competing services without agreement

5. Pricing and Payment

SOLI AI services are currently in development. Pricing and payment terms will be determined on a case-by-case basis for early adopters and consulting engagements.

5.1 General Payment Terms

• All payments are processed securely via industry-standard payment processors
• Prices are in USD unless otherwise stated
• Payment terms will be outlined in individual service agreements or proposals
• Fees are non-refundable except as required by law or as specified in individual agreements

6. Data and Intellectual Property

6.1 Your Data

• You retain all ownership rights to data you upload to SOLI AI
• You grant us a limited license to process your data solely to provide services
• You represent that you have the right to use and share the data you upload
• You are responsible for the accuracy and legality of your data

6.2 Intellectual Property

• Tô Minh Tiến retains ownership of methodologies, processes, and general solutions developed
• Client-specific deliverables and customizations become your property upon full payment
• You may not resell or redistribute consulting deliverables as standalone products without agreement
• SOLI AI branding and assets remain property of Tô Minh Tiến

6.3 Deliverables

You own the specific work products created for your engagement. We may use anonymized, non-identifying insights from consulting work to improve general methodologies.

7. Service Delivery

For consulting engagements, service delivery terms including timelines, deliverables, and support will be outlined in individual project agreements.

We strive to provide professional services but cannot guarantee specific outcomes or timelines except as specified in written agreements.

8. Disclaimers and Limitations

8.1 No Warranty

SOLI AI services are provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied, including but not limited to:

• Merchantability or fitness for a particular purpose
• Accuracy, reliability, or completeness of forecasts
• Uninterrupted or error-free operation
• Security or freedom from viruses or malicious code

8.2 AI Solutions Disclaimer

AI-based forecasts and predictions are probabilistic in nature and not guaranteed to be accurate. We are not liable for business decisions made based on AI recommendations or forecasts.

8.3 Limitation of Liability

To the maximum extent permitted by law, SOLI AI shall not be liable for:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages exceeding the amount you paid to SOLI AI in the past 12 months

9. Termination

9.1 Termination of Consulting Engagement

Either party may terminate a consulting engagement according to the terms specified in the individual project agreement. Any work completed up to termination will be billed according to agreed rates.

9.2 Termination for Breach

We may terminate services immediately if:

• You violate these Terms
• You fail to pay fees when due
• You engage in fraudulent or illegal activities

9.3 Effect of Termination

Upon termination, you will receive any deliverables completed up to that point as specified in the project agreement. Any confidential information shared during the engagement remains subject to confidentiality obligations.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tô Minh Tiến (doing business as SOLI AI) from any claims, losses, liabilities, damages, and expenses (including legal fees) arising from:

• Your use of SOLI AI services
• Your violation of these Terms
• Your infringement of third-party rights
• Data or information you provide during consulting engagements

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Vietnam, without regard to conflict of law principles.

11.2 Arbitration

Any disputes arising from these Terms shall be resolved through binding arbitration in Vietnam, except where prohibited by law. You waive the right to participate in class-action lawsuits.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or prominent notice on our website at least 30 days before they take effect. Your continued use after changes constitutes acceptance.

13. Miscellaneous

• Business Structure: SOLI AI is a trade name used by Tô Minh Tiến for consulting services. It is not a registered trademark, company, or legal entity
• Entire Agreement: These Terms constitute the entire agreement between you and Tô Minh Tiến (SOLI AI)
• Severability: If any provision is unenforceable, the remaining provisions remain in effect
• Waiver: Failure to enforce any right does not waive that right
• Assignment: You may not assign these Terms without our consent
• Force Majeure: We are not liable for delays caused by events beyond our control
